Terms of Service

These terms govern your use of Your Invoices, on the web and in our iOS app. By creating an account you agree to them. Please read them alongside our Privacy Policy, which forms part of this agreement.

Who we are

Your Invoices is operated by North East VAG Adaptions LTD, a company registered in England and Wales (company number 15225495), trading as Your Invoices, whose registered office is at Unit 9, Dragonville Industrial Park, Durham, DH1 2XH. Your account

Your Invoices is for business use. You must be 18 or over and, if you are signing up for a company, authorised to accept these terms on its behalf. Keep your login details secure and tell us promptly if you think someone else has access. You are responsible for everything done under your account, including by the people you invite to your business.

Acceptable use

Use the service lawfully. Do not use it to send spam, to invoice for fraudulent or illegal supplies, to impersonate anyone, to break into or overload our systems, or to resell the service. We may suspend an account that is causing harm to the service or to other users, and we will tell you why.

Plans and payment

The Free plan is £0/month. The Pro plan is £6/month. Prices are in pounds sterling. We are not registered for UK VAT, so no VAT is charged and none is recoverable on these fees. If that changes we will give notice before any VAT-inclusive price applies.

Paid plans are billed in advance through our payment provider, Stripe, and renew automatically each month or year until you cancel. We never see or store your card details. If a payment fails we may retry it and, if it keeps failing, move your account to the Free plan.

We may change prices with at least 30 days’ notice by email. The new price applies from your next renewal, and you can cancel before then if you do not want it.

Cancelling and refunds

You can cancel at any time from billing settings. Cancelling stops the next renewal and you keep Pro until the end of the period you have already paid for. Your account then continues on the Free plan - we do not delete your data because you cancelled.

Subscription fees already paid are not refundable for part-used periods, except where the law requires a refund or where we have failed to provide the service. Cancelling always leaves you with the time you have paid for rather than cutting access short. Nothing here affects your statutory rights.

Your data and content

Your data belongs to you. You give us only the permission we need to host, process, back up and display it so we can run the service for you. You are responsible for the content of the invoices and records you create, for having the right to hold your customers’ details, and for the accuracy of the VAT and tax information you enter.

You can export everything at any time, and delete your account, which permanently removes the businesses you own and their data. Keep your own copies of your records for as long as HMRC requires - deletion cannot be undone.

Not accounting or tax advice

Your Invoices is software, not an accountant. Nothing in the product, the templates, the VAT calculations, the reports or our support replies is accounting, tax or legal advice. You are responsible for what you file and what you claim, and for checking figures before you send an invoice or a return. If you are unsure, speak to a qualified accountant or tax adviser.

Availability and changes

We provide the service on a reasonable-efforts basis and aim to keep it available, but we do not offer a guaranteed uptime level. We may need to take it down for maintenance, and we will try to do that outside UK business hours. We also improve and occasionally change features; we will not remove something material from a paid plan without telling you first.

Sending email and taking payments depends on third parties (Stripe for payments, our email provider for delivery). We are not responsible for their outages, or for an email being filtered or refused by a recipient’s mail server.

Suspension and termination

You can stop using the service at any time. We may suspend or close an account that breaches these terms, that we are legally required to close, or that has not paid. Unless the law prevents it, we will give you notice and a reasonable chance to export your data first.

Liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Subject to that, and because this is a business-to-business service: we are not liable for loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or for any indirect or consequential loss, however it arises. Our total liability to you for all claims in any 12-month period is limited to the subscription fees you paid us in the 12 months before the claim arose.

You are responsible for keeping your own backups. Export your data regularly - our liability for lost data is limited as set out above.

Changes to these terms

We may update these terms. If a change materially affects you we will email you at least 30 days’ before it takes effect, and you can cancel before then if you do not accept it.

Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any part of these terms is found to be unenforceable, the rest continues to apply.
